Working with LHM as a CPA or audit team

CPA firms engage LHM Valuation Group in two capacities. Tax and advisory practices need values their clients can report: real estate and business interests for estate and gift returns, basis, buy-sell transactions, and charitable contributions. Audit practices need a specialist who can prepare, or independently test, the fair value measurements in a client's financial statements and document the work to the standard the engagement file requires. Brian Allen does both, from one credentialed practice, with the complex securities work (Monte Carlo simulation, lattice models, convertible instruments, preferred stock waterfalls, contingent consideration) done in-house.

Tax practice

Values a return can carry.

Date-of-death and alternate-date values for commercial real estate, closely held businesses, and holding entities, with discount studies for fractional and non-controlling interests on Form 706 and Form 709, prepared with the adequate disclosure rules in view so the statute of limitations on a gift starts running. Section 1014 basis support for inherited property. Qualified appraisals for real property contributions on Form 8283. Values under buy-sell agreements, for S corporation and partnership restructurings, and for related-party transfers between family entities. Property tax appeal support. Financial reporting

409A, ASC 805, ASC 820, ASC 350 and 360.

409A and ASC 718 valuations for private companies, including the option pricing method backsolve and probability-weighted scenarios where the capital structure requires them. Purchase price allocations under ASC 805, with the real property component appraised under a Certified General license. Fair value of complex instruments under ASC 820: convertible notes, SAFEs, preferred stock with participation and liquidation preferences, warrants, earnouts, and other contingent consideration, valued with Monte Carlo simulation or lattice models as the terms require. Goodwill and long-lived asset impairment testing under ASC 350 and ASC 360. These engagements are delivered nationally. Audit specialist support

Prepare, or independently test, and document it.

For audit teams, LHM acts as the auditor's specialist or reviews the work of a company's specialist: replicating the model, testing inputs against observable data, running the sensitivities the engagement team needs, and writing the memo to the documentation standard of AU-C 620 or PCAOB AS 1210 and AS 2501, as applicable. Independence is confirmed for each audit client before acceptance, and LHM does not act as the company's specialist and the auditor's specialist on the same engagement. Timing follows the audit calendar; scoping in the planning phase, with the deliverable dated before fieldwork ends, is the arrangement that works.

What LHM needs at scoping

The entity, the instrument, the date, the deadline.

The entity, the reporting period or effective date, the instrument or asset, the purpose (return, financial statements, transaction), the deadline, and any prior valuation in the file. The information request list for each engagement type shows which items start the clock. Documents follow the engagement letter.

How the engagement is papered

Client, intended users, fee, and a report a reviewer can trace.

The engagement letter names the client and the intended users. Where the CPA firm engages LHM on a client's behalf, the letter says so and identifies who is responsible for the fee. Fees are fixed for the scope; rush work is priced as such. Reports state the standard of value, the premise, the methods, the inputs and their sources, and the reconciliation, so that a reviewer, an examiner, or an audit partner can trace every figure.
